Terms of Service

1. Acceptance of Terms

By creating an account, installing the desktop application, or using the POSiX web app (collectively, the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these terms.

The Service is operated by TKR SOFTTECH SOLUTIONS ("we", "us", or "our"), a company registered in Telangana, India.

If you do not agree to these terms, do not use the Service.

2. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the security of your account credentials. Do not share your password.
• You must notify us immediately if you suspect unauthorised access to your account.
• One person or business may maintain multiple accounts only if each corresponds to a separate legal entity.

3. Free & Paid Plans

POSiX offers a free tier and multiple paid subscription plans. The features, limits, and pricing of each plan are described on our Pricing page.

• Free plan: includes limited features with no time restriction. No payment required. No SLA or uptime guarantee. We may modify free plan features at any time with reasonable notice.
• Paid plans: unlock additional features, higher limits, and priority support as described on the Pricing page.
• We reserve the right to change plan pricing with 30 days' advance notice. Existing subscriptions continue at the current rate until the end of the billing cycle.

4. Payment & Billing

• All payments are processed through Razorpay, our authorised payment gateway. By making a payment, you also agree to Razorpay's terms of service.
• Prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise.
• Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date.
• Failed payment attempts will be retried. If payment fails for 7 consecutive days, your account may be downgraded to the free plan.
• We issue GST-compliant invoices for all paid subscriptions.

5. Refund Policy

6. Intellectual Property

• The POSiX software, branding, documentation, and website content are the intellectual property of TKR SOFTTECH SOLUTIONS and are protected under Indian copyright and trademark laws.
• Your subscription grants you a limited, non-exclusive, non-transferable licence to use the software for your business operations.
• You may not reverse-engineer, decompile, or create derivative works from the software.
• You may not resell, sublicense, or redistribute the software without our written consent.

7. User Data & Responsibilities

7.1 Your Data Belongs to You

You retain full ownership of all business data you create using POSiX — invoices, inventory records, accounting entries, party information, and any other data. We do not claim any ownership rights over your data.

7.2 Data Export

You can export your data at any time in standard formats (CSV, JSON). The desktop app uses an open SQLite database that you can access directly. There is no vendor lock-in.

7.3 Backups

• Desktop app: data is stored locally on your device. You are responsible for maintaining backups of your local database.
• Cloud/Web app: we maintain regular backups of cloud data. However, we recommend you also keep your own exports as an additional safety measure.

7.4 Account Deletion

You may request account deletion at any time by emailing tkrsofttech@gmail.com. Upon deletion:

• Your cloud data will be permanently deleted within 90 days.
• Your desktop data remains on your local machine — we have no ability to access or delete it.
• Billing records may be retained for up to 8 years as required by Indian tax law.

8. Prohibited Use

You may not use the Service to:

• Violate any applicable Indian or international law.
• Generate fraudulent invoices, manipulate GST filings, or facilitate tax evasion.
• Attempt to gain unauthorised access to our systems or other users' data.
• Overload, disrupt, or interfere with the Service's infrastructure.
• Use automated tools (bots, scrapers) to access the Service in an unauthorised manner.
• Share your account credentials or licence key with unauthorised parties.

We reserve the right to suspend or terminate accounts that violate these terms.

9. Service Availability

• Desktop app: works offline. Availability depends on your device — not our servers.
• Cloud/Web app: we aim for high uptime but do not guarantee a specific SLA. Scheduled maintenance will be communicated in advance.
• Free plan: provided on a best-effort basis with no uptime guarantee.
• We may temporarily suspend the Service for maintenance, security patches, or infrastructure upgrades with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by Indian law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
• We are not responsible for data loss due to hardware failure, user error, or failure to maintain backups of locally stored data.
• We are not responsible for any GST filing errors, tax miscalculations, or compliance issues arising from incorrect data entry by the user.

11. Termination

• By you: you may cancel your subscription or delete your account at any time. Cancellation takes effect at the end of the current billing period.
• By us: we may suspend or terminate your account if you violate these terms, fail to pay, or engage in prohibited use. We will provide reasonable notice unless the violation requires immediate action.
• Upon termination, your right to use the Service ends. You may export your data before termination. After termination, cloud data is deleted per our data retention policy.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Adilabad, Telangana, India.

13. Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, either party may pursue legal remedies under the jurisdiction specified above.

For consumer disputes, the provisions of the Consumer Protection Act, 2019 shall apply.

14. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
